Terms and Conditions for the “Sharemas Advent Calendar 2024” of sharemagazines GmbH

 

(1) The promoter of the competition is sharemagazines GmbH.

(2) Participants must be at least 18 years old and have their residence in Germany, Austria or Switzerland.

(3) Eligible to participate are people who have subscribed to the Instagram channel of sharemagazines.

(4) Participation takes place through the interaction(s) specified in the respective post.

(5) In the event of a win, you agree that your name and place of residence may be published on Instagram and/or elsewhere.

(6) The competition consists of various winning opportunities. Each winning opportunity will be announced via a separate Instagram post on the sharemagazines profile. The participation period begins with the publication of the post. The participation period ends with the time specified in the respective post (closing date for entries). Later participation is not possible.

(7) The winner is determined from the participants of a winning opportunity by means of a lottery. Each prize is available once. One winner will be drawn per winning opportunity.

(8) For each prize, a draw will be held by sharemagazines GmbH within a period of three weeks after the closing date for entries. The winner of a winning opportunity will be notified after the draw (notifications will be made by replying to a comment, tagging in a story or in a comment and by an Instagram message) – please make sure that you can be contacted by us in these ways in the event of a win. The winner has three working days from the time of notification to confirm the prize and send the necessary data to sharemagazines GmbH. Otherwise, the prize claim expires and a new draw of the respective prize takes place.

(9) The prize will be delivered by post or e-mail by sharemagazines GmbH or one of its partners.

(10) The data of the participants will only be used for the execution of the competition and the sending of the respective prize to the address given by the winner and will not be stored further or used for other purposes, unless otherwise stated. For this, it may also be necessary for us to transmit your data to our partners. Please note that we have no influence on which data is stored and processed by Instagram.

These terms and conditions of participation come into effect on 01.12.2024 and apply until 24.12.2024 inclusive.

Terms and Conditions for the “Scratch Card Competition” of sharemagazines GmbH

 

(1) Eligibility:

  • Persons aged 18 and over are eligible to participate. Employees of sharemagazines GmbH and their relatives are excluded from participation.

(2) Procedure of the competition:

    • Participants receive a free scratch card from sharemagazines GmbH
    • With the scratch card, participants have the chance to win a sharemagazines annual subscription for one location.
    • The competition is a pure B2B competition, a private use of the annual subscription is excluded.
    • If the scratch card does not show a win, the participants have a second chance.
    • To take part in the second chance, participants fill out the back of the scratch card with their contact details (name, address, email and/or telephone number).
    • The completed scratch card is thrown by the participants into the lottery box provided for this purpose.

    (3) Second chance draw:

    • The second chance draw will take place 3 days after the end of the scratch card competition.
    • The winners of the second chance will be informed of their win by e-mail or telephone.

    (4) Notification of winning:

    • The winners of the sharemagazines annual subscription will be informed of their win immediately after scratching the scratch card.
    • The winners of the second chance will be notified within 7 days of the draw.
    • The winners have three working days from the time of notification to confirm the prize and send the necessary data to sharemagazines GmbH. Otherwise, the prize claim expires and a new draw of the respective prize takes place.

    (5) Prizes:

    • The main prize consists of a sharemagazines annual subscription for one location.
    • In the event of a win, the sharemagazines annual subscription starts from the 1st of the following month and does not automatically extend after expiry.
    • The winners agree that they may be notified by sharemagazines GmbH of the expiry date before the subscription expires.
    • Further prizes are not planned.

    (6) Data protection:

    • The personal data collected will be used for the execution of the competition.
    • The participants also agree that their data may also be used for marketing purposes by sharemagazines GmbH, even if they are not among the winners.
    • The data will not be passed on to third parties.

    (7) Liability:

    • sharemagazines GmbH assumes no liability for damages or losses in connection with participation in the competition.

    (8) Legal recourse:

    Terms and Conditions for the Bonus Program:

    “Friendship Advertising”

    -Program of sharemagazines GmbH

    § 1 Scope

    These terms and conditions apply to all contractual relationships within the scope of the bonus program of sharemagazines GmbH, Moorfuhrtweg 17, 22301 Hamburg (hereinafter: sharemagazines). The program is limited until 31.12.2021. It offers existing customers of sharemagazines the opportunity to recruit new customers for sharemagazines, whereby existing customers receive a one-time bonus of €25.00 from sharemagazines for each successful recruitment. In addition, new customers who have concluded an effective new customer contract with a minimum term of 12 months with sharemagazines as a result of successful advertising receive a one-time bonus of €25.00 per paying location from sharemagazines.

    § 2 Definitions

    The following definitions apply within the scope of these terms and conditions:

    (1) Advertiser: any natural person of legal age, working as a freelancer, or legal entity that is an existing customer of sharemagazines; the customer status must be mandatory at the time of the advertising action; neither the advertiser nor their relatives may be employees or cooperation partners of sharemagazines at the time of the advertising action; cooperation partners are all business partners of sharemagazines with whom cooperation partner agreements/or contracts have been concluded.

    (2) Advertising action: any action by which the advertiser transmits an individual voucher code generated by sharemagazines to a third party (advertising addressee) who is not registered as a customer with sharemagazines at this time; sharemagazines allows – subject to the cases of § 6 of these terms and conditions – all advertising channels (e.g. SEA, Facebook, e-mail etc.); however, the advertiser must independently ensure that he does not violate these terms and conditions or applicable law in the advertising action.

    (3) successful advertising: exists if a third party registers as a new customer with sharemagazines in a causal and technically comprehensible sequence of an advertising action, in particular through the transmission of the personalized voucher code, pays the remuneration claim due to sharemagazines after the free trial month and does not terminate the contract within three months after conclusion of the contract; it is pointed out that sharemagazines is not obliged to register the recommended third party as a new customer, so that the advertiser does not acquire a claim to the bonus in the event of a rejected registration.

    (4) Advertised/new customer: any natural or legal person who becomes a new customer of sharemagazines as a result of successful advertising and has never been listed as a customer of sharemagazines in the past; the advertiser’s remuneration claim for the advertising (bonus) only arises if the advertised third party actually becomes a new customer within the meaning of this definition; only legal entities or natural persons who work as freelancers can become customers or new customers of sharemagazines.

    (5) Bonus: remuneration that sharemagazines offers to the advertiser and the advertised for each successful advertising; the bonus for the advertiser is offset against the next possible invoice; the bonus for the advertised is credited to the next possible invoice.

    (6) Existing customers: customers who have paid at least one monthly fee and are no longer in the trial month.

    § 3 Advertising Process

    (1) The advertising action may – subject to the restrictions in § 6 of these terms and conditions – be carried out via all advertising channels (e.g. social media, email etc.).

    (2) The advertiser can make his personal voucher code available to third parties (e.g. via social media, on his own website, in his own newsletter etc.)

    § 4 Data Protection

    (1) If the new customer sends a request to sharemagazines via the sharemagazines website with the personal voucher code, sharemagazines will save it. The assignment is made to the advertiser via the individual voucher code.

    (2) sharemagazines undertakes to treat the personal data of the new customer confidentially in accordance with the applicable data protection regulations and, during the contractual relationship, to collect, process, store and use it only for the purposes of contract execution without further express consent. Details can be found in the sharemagazines privacy policy.

    § 5 Remuneration Claim, Remuneration Conditions, Forfeiture and Recovery

    (1) In the event of successful advertising of a new customer, the advertiser acquires a remuneration claim (bonus) against sharemagazines. sharemagazines decides independently on inclusion in the customer base of the recommended new customer. A claim to the bonus does not arise if sharemagazines refuses the inclusion of the recommended new customer – for whatever reason. sharemagazines reserves the right to change the bonus amount at any time. The amount of the bonus is a one-time payment of €25.00 per paying location of one or more customers. Within a group of companies, no customers/locations can be won. In this respect, no effective remuneration claim arises.

    (2) Special promotional offers may be excluded from the “recruit business customers” program. A payout or a bonus exchange is not possible.

    (3) The remuneration claim only becomes due when all conditions of successful advertising within the meaning of § 2 paragraph 3 of these terms and conditions are met.

    (4) The bonus is paid to the advertiser by offsetting it against the next possible invoice. A maximum of one bonus credit of €25.00 per billing month can be made per invoice on the tariff of the digital reading circle. Any remaining bonus amount will be transferred by sharemagazines to the following billing period or the following billing periods; In the event of termination of the contract before all possible bonus claims have been offset, there is no claim to a payout. The bonus is paid to the advertised by means of a credit note on the next possible invoice.

    (5) If the new customer contests the contract with sharemagazines or terminates it by extraordinary termination, the advertiser’s claim to the bonus expires, provided that sharemagazines can demonstrate and prove that the reason for the termination of the contract by the new customer is solely the responsibility of the advertiser (e.g. in the event of proven deception by the advertiser). In the event of forfeiture of a bonus that has already been paid out, this must be reimbursed to sharemagazines by means of a transfer. The advertiser is the debtor of the full bonus amount.

    § 6 Obligations of the Advertiser

    (1) The advertiser is obliged to adhere to these terms and conditions and the other contractual conditions as well as applicable law in all actions related to the advertising of new customers. In the event of contact with the advertising addressee, the advertiser permits sharemagazines to make a named reference to the advertiser. The mass sending of recommendation emails (spam) is expressly prohibited.

    (2) The advertiser must ensure that the advertising addressee is a legal entity or a natural person who works as a freelancer. He must also ensure that the new customer advertising is based neither on deception nor on any other impermissible influence on the will. Within the scope of standard commercial care, the advertiser must also take suitable measures to avoid misrepresentations that could lead to a termination, rescission or other termination of the contract with sharemagazines by the advertising addressee.

    (3) sharemagazines attaches great importance to a reputable image. The advertiser is therefore prohibited from using advertising channels whose content violates applicable law or morality. In particular, new customer advertising via websites or social media portals that contain the following content is prohibited:

    1. representations and/or content glorifying or trivializing violence;
    2. inflammatory, right-wing extremist and/or anti-constitutional representations and content;
    3. Representations and content that incite criminal offences;
    4. pornographic content (in particular depictions of sexual violence);
    5. other content that violates applicable law (in particular criminal law) and/or morality.

    § 7 Exclusion from the “Recruit Business Customers” Program

    (1) sharemagazines is entitled to exclude customers registered with it from the “Business Customers Recruit Business Customers” program, temporarily suspend them or impose other, similar sanctioning measures against them. Such sanctioning measures shall be considered in particular if the advertiser violates these terms and conditions of participation, other contractual terms and conditions or applicable law in connection with the acquisition of new customers, or if there is a suspicion of misuse of the “Business Customers Recruit Business Customers” program by the advertiser. The respective sanctioning measure does not have to be justified by sharemagazines. There is no legal claim to the provision of such justification.

    (2) The contractual relationship between sharemagazines and the advertiser (location contract) remains unaffected by the sanctioning measure within the meaning of paragraph 1.

    § 8 Violation of Third-Party Rights

    Each existing customer must independently ensure that it does not violate any third-party rights within the scope of new customer acquisition and complies with all contractual and other statutory obligations (including these terms and conditions of participation). The existing customer shall indemnify sharemagazines against all claims of third parties that they may assert against sharemagazines due to its unlawful conduct. This also includes the reasonable costs of legal defense, in particular the court and attorney fees in their statutory amount. Sentence 2 does not apply if the member is not responsible for the infringement. In any case, however, the existing customer is obliged to inform sharemagazines immediately, completely and truthfully in the event of a possible claim by third parties and to provide all information necessary for verification and defense.

    § 9 Term and Reservation of Amendment and Corresponding Application

    (1) The program is limited to 31.12.2021. A contract concluded after 31.12.2021 on the basis of a voucher code does not trigger any premium claims.

    (2) sharemagazines reserves the right to change or cancel the “Business Customers Recruit Business Customers” terms and conditions of participation at any time.

    § 10 Final Provisions

    (1) Amendments or supplements to these terms and conditions must be in text form. This also applies to the cancellation of this text form requirement.

    (2) The law of the Federal Republic of Germany shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods.

    (3) The place of performance and exclusive place of jurisdiction for all disputes arising out of or in connection with this contract is Hamburg.

    (4) Should individual provisions of these terms and conditions be invalid, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by the contracting parties by mutual agreement by a legally effective provision which comes closest to the economic meaning and purpose of the invalid provision. The above provision shall apply mutatis mutandis in the event of loopholes.

    (1) The promoter of the competition is sharemagazines GmbH.
